Shareholder remuneration

Shareholder remuneration policy for the 2018-2022 period

Naturgy substantially improved shareholder remuneration, increasing its dividend to 1.3 euros per share in 2018, 30% more than in 2017. In addition, it has committed to increasing the dividend per share, in cash, by at least 5% from 2018, reaching 1.59 euros per share in 2022.

In accordance with the 2018-2022 Strategic Plan, Naturgy undertakes to make three cash dividend payments to its shareholders.

Payment schedule

- A first payment on account at the end of the first half of the year (20% of the total amount of the dividend).

- A second interim payment at the end of the third quarter (35%).

- A final dividend once the Shareholders' General Meeting has been held (remaining 45%).

Likewise, in order to reinforce the new shareholder remuneration policy, and in the event that inorganic investments meeting the established minimum investment criteria do not materialise, the company could allocate a maximum of 2 billion euros in the period (2018-2022) to a share buy-back.
